Jackson's Intel — Terms of Service & Liability Waiver

PLEASE READ THESE TERMS CAREFULLY. By accessing our website, contacting us, subscribing to our services, or otherwise using Jackson's Intel, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service & Liability Waiver.

Jackson's Capital Investment LLC (operating as Jackson's Intel) provides weekly competitor market surveillance and competitive intelligence services for wellness, supplement, sports nutrition, and direct-to-consumer brands.

1. Acceptance of These Terms

These Terms of Service & Liability Waiver constitute a legally binding agreement between you and Jackson's Capital Investment LLC (operating as Jackson's Intel). If you do not agree to these Terms, do not access or use our website or services.

2. Description of Services

Jackson's Intel provides weekly competitor market surveillance and competitive intelligence services, including the Weekly Market Radar and War Room services. The services may include monitoring publicly available information, preparing reports, delivering summaries, and providing strategic briefings or analyst support according to the subscription selected.

3. Eligibility and Authority

You must be at least 18 years old and able to enter into a binding agreement to use our services. If you use the services on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.

4. Client Information and Cooperation

You agree to provide accurate, current, and complete information needed for us to provide the services. You are responsible for your competitor list, business requirements, contact details, and any other information you provide to us.

  • Keep information supplied to Jackson's Intel accurate and up to date.
  • Respond promptly when clarification or additional information is reasonably needed.
  • Ensure that you have the authority to provide any information or materials you submit.

5. Reports and Delivery

Reports are gathered manually from third-party websites and prepared for informational and educational purposes. We will use reasonable efforts to deliver reports and other agreed services according to the applicable subscription, but delivery timing may be affected by third-party availability, holidays, technical issues, or circumstances outside our reasonable control.

6. Informational Use Only; No Professional Advice

OUR REPORTS DO NOT CONSTITUTE BUSINESS, LEGAL, FINANCIAL, INVESTMENT, MEDICAL, OR OTHER PROFESSIONAL ADVICE. We are not financial advisors or business consultants. You are solely responsible for evaluating the accuracy of the data and making your own business decisions.

7. Third-Party Sources and Accuracy

Our reports may contain information collected from third-party websites and other publicly available sources. Information may be incomplete, delayed, changed, restricted, removed, or incorrectly reported by a third party. While we strive for 100% accuracy, human error is possible.

You acknowledge that market surveillance and competitive intelligence involve uncertainty, and that no report can guarantee that every competitor action, price, product, promotion, inventory condition, or other market event will be identified or reported.

8. Client Responsibilities

You are solely responsible for how you use and rely on the reports and for independently verifying information before taking action. You are also responsible for complying with all laws, regulations, platform rules, and third-party terms that apply to your business and decisions.

9. Fees, Billing, and Taxes

Subscription fees are charged according to the plan and billing terms presented when you subscribe. Subscriptions are month-to-month recurring subscriptions. You authorize the applicable payment processor to charge the payment method provided for each billing period.

  • You are responsible for providing valid payment information.
  • You are responsible for applicable taxes, duties, or governmental charges not included in the stated subscription fee.
  • We may suspend service if a payment is declined, reversed, or remains unpaid.

10. Cancellation, Refunds, and Chargebacks

The client must provide a 5-business-day written notice via email to intel@jacksonscapital.com prior to the next billing cycle to cancel. If a weekly report has been delivered during the current billing month, the client acknowledges that no pro-rated refunds or chargebacks will be issued for that month's service fee.

Cancellation does not eliminate payment obligations that accrued before the effective cancellation date.

11. Confidentiality

Your specific competitor list will be held strictly confidential and will not be shared with any other active clients. Each party will use reasonable care to protect confidential information received from the other party and will use it only as needed to perform or receive the services or comply with legal obligations.

Confidential information does not include information that is publicly available through no breach of these Terms, was already lawfully known, is independently developed, or is lawfully received from another source without a duty of confidentiality.

12. Intellectual Property

All reports, templates, data structures, and summaries generated by Jackson's Intel are our exclusive intellectual property. Subject to your compliance with these Terms and payment of all applicable fees, we grant you a limited, non-exclusive, non-transferable right to use the reports internally for your own business purposes.

13. Restrictions on Use

YOU MAY NOT RESELL, REDISTRIBUTE, SUBLICENSE, PUBLISH, OR SHARE OUR WEEKLY REPORTS OR DATA FORMATTING WITH ANY THIRD PARTY OR COMPETITOR. You may not copy, modify, create derivative works from, reverse engineer, or use our materials to create a competing service except as expressly permitted in writing by Jackson's Intel.

14. Competitor Overlap and Service Refusal

We reserve the right to refuse service to any new client whose required competitor list directly overlaps with an active client in the exact same product category. We prioritize the exclusivity of our existing partnerships.

We may limit, change, or discontinue monitoring for a competitor, category, or client where we reasonably determine that doing so is necessary to protect confidentiality, exclusivity, legal compliance, or the integrity of our services.

15. Independent Contractors

By engaging our services, you acknowledge that our analysts and any subcontractors are independent contractors, not employees, and are solely responsible for their own taxes, insurance, and statutory obligations. Nothing in these Terms creates an employment, agency, partnership, or joint-venture relationship between you and Jackson's Intel.

16. Third-Party Websites and Services

Our website and reports may reference or link to third-party websites, tools, platforms, and services. We do not control and are not responsible for the availability, content, accuracy, security, privacy practices, or terms of third-party websites or services. Your use of them is at your own risk and may be governed by their separate terms.

17. Disclaimer of Warranties

THE WEBSITE, REPORTS, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." To the fullest extent permitted by law, Jackson's Intel disclaims all express, implied, and statutory warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and uninterrupted or error-free operation.

18. Limitation of Liability

UNDER NO CIRCUMSTANCES SHALL JACKSON'S INTEL, ITS EMPLOYEES, OR ITS CONTRACTORS BE HELD LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, including, but not limited to, lost revenue, pricing errors, inventory miscalculations, or missed sales opportunities, resulting from the use of, or reliance upon, the data provided in our reports.

To the fullest extent permitted by law, our total liability to you shall not exceed the total amount you paid us for the month in which the error occurred. These limitations apply regardless of the legal theory on which a claim is based and even if we have been advised of the possibility of such damages.

19. Indemnification

You agree to defend, indemnify, and hold harmless Jackson's Capital Investment LLC (operating as Jackson's Intel), its employees, contractors, analysts, and service providers from claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of your use of the website or services, your breach of these Terms, your violation of law or third-party rights, or your business decisions and actions taken in reliance on the reports.

20. Suspension and Termination

We may suspend or terminate access to the website or services if you breach these Terms, fail to pay fees, misuse our materials, create a confidentiality or exclusivity concern, or engage in conduct that may harm Jackson's Intel, our clients, or our service providers.

Sections concerning payment obligations, confidentiality, intellectual property, restrictions on use, disclaimers, limitations of liability, indemnification, and any provisions that by their nature should survive termination will survive termination.

21. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, technology, legal requirements, or business practices. When we make changes, we will post the updated Terms on this page and revise the Effective Date. Your continued use of the website or services after the updated Terms become effective means that you have reviewed and accepted the revised Terms.

22. General Provisions and Contact

These Terms, together with any applicable order or subscription details, constitute the entire agreement between you and Jackson's Capital Investment LLC (operating as Jackson's Intel) concerning the services. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver of our right to do so later.
